ALUMNI ASSOCIATION 

CALIFORNIA STATE UNIVERSITY, SAN BERNARDINO

CONSTITUTION

ARTICLE I: NAME 

The name of this organization shall be the California State University, San Bernardino Alumni Association. 

ARTICLE II: MISSION VISION AND VALUES

Section 1: Mission

The mission of the CSUSB Alumni Association is to serve our diverse alumni through a culture of excellence. The association creates inclusive initiatives and a life-long network connected to resources and opportunities for success. We strive to positively impact the Inland Region and beyond and enhance the legacy of CSUSB. 

Section 2: Vision

The vision of the CSUSB Alumni Association is to lead the promotion of the value and distinction among our globally diverse alumni network. 

Section 3: Values

  • Engagement- The Alumni Association furthers the engagement of the Coyote family, fostering a community of belonging based on respect, committed to the success of CSUSB and its network.   
  • Leadership -The association fosters a culture of courageous leadership with intention in all that we do.   
  • Philanthropy - The association empowers the success of CSUSB by promoting philanthropy through generosity and service.   
  • Excellence - The association showcases alumni excellence and celebrates CSUSB’s success. 

ARTICLE III:  MEMBERSHIP

Membership shall consist of two classes:  Active, Honorary,  

Section 1: Active

Eligible for Active membership in the Association are: 

  1. CSUSB graduates; 
  2. Individuals who have received credentials from CSUSB; 
  3. Former students with at least 90 units; and  
  4. CSUSB classified and unclassified graduate students.  

Active members are accorded all rights and privileges of the Association upon payment of established membership dues.  Active members may become Life members upon payment of dues established by the Association Board of Directors. 

Section 2:  Honorary

By unanimous vote of the Board of Directors at a regular meeting, any person who is judged to have rendered meritorious service to the  University or to the Alumni Association may be elected to honorary  membership in the Association and shall be accorded all the rights and privileges of the Association.  

ARTICLE IV:  ORGANIZATION 

Section 1:  Officers

The elective officers of this Association shall be a president and vice president, whose terms of office shall run from July 1 through June 30 for a period of two years. 

Section 2:  Board of Directors

  • The business and property of the Association shall be administered by a Board of Directors.  This Association shall be a non-profit association. 
  • The voting membership of the Board of Directors shall consist of 11 directors and the president of California State University, San Bernardino or his/her duly appointed representative.  Directors shall serve for a term of three years and may not serve for more than two full, consecutive terms, unless the Director is serving in the capacity of President, in which event service of a third one-year term shall be allowed.  Completing a previous Board member’s term does not constitute a full term.  Directors may be re-elected after a one-year absence from the Board.  Terms shall be staggered so that no more than one-third of the Board shall be up for election in any one year.
  • Liaisons of the Board of Directors shall include: the immediate past president of the Alumni Association, if no longer serving as a director, the Director of Alumni Relations for California State University, San Bernardino. Campus wide committee representatives, and chapter representatives serving as liaisons will be voting members. 
  • Non-voting ex-officio members shall include:  
    • Department Leadership of the alumni relations office and designated staff.  
    • Immediate Past President  
    • Alumni Council Emeritus Executive Board Members                                                                                                                                                    

Section 3:  Operational Rules

  • A quorum for the Board shall consist of a simple majority of voting members of all filled positions. 
  • The responsibilities and duties of the Board are set forth in the Bylaws. 
  • A member of the Board of Directors may be removed from office for a suitable cause by an affirmative vote of two thirds (2/3) of the voting membership of the Board. 
  • A director who fails to attend three consecutive regular Board and/or    committee meetings without an excuse may be removed by a majority vote of the Board of Directors. 
  • A director who fails to abide by the Alumni Association Code of Conduct may be removed by a majority vote of the Board of Directors. Board members may be put on temporary leave at the discretion of the Alumni Relations office until the board can vote on appropriate action. 

ARTICLE V: ELECTIONS AND MEETINGS 

Section 1:

Election of the president and vice president shall be held every 2 years.  Election of one-third of the Directors (in a rotation of 3, 4, 4) shall be held every year.  All such elections shall be completed by June 30.  Candidates for office shall be constituted by a duly established nominating committee. Special elections will be called for in the event of vacancy of office.

Section 2:

the Board of Directors shall hold a minimum of three meetings a year, the time and place to be designated by the president of the Association. 

Section 3:

Special meetings may be called by the president on their own motion, or by them upon written request of ten (10) members of the Association or by the Board of Directors, respectively. 

ARTICLE VI: DISSOLUTION 

Section 1:

Upon dissolution of the Association, net assets other than trust funds shall be distributed to the University Enterprise Corporation at CSUSB, which is organized and operated for the benefit of California State University, San Bernardino and the students and faculty of the University. 

Section 2:

However, if the named recipient is not then in existence, or no longer a qualified distributee, or unwilling or unable to accept the distribution, then the assets of this Association shall be distributed to a fund, exclusively for educational purposes and exempt from federal income tax under section 502 (C) (3). 

Section 3:

If, upon dissolution, this Association holds any assets in trusts, such assets shall be distributed of in such manner as may be directed by decree of the Superior Court of the County of San Bernardino upon petition thereunto by the Attorney General or by any person concerned in the liquidation.  In no event shall any assets held in trust be distributed to any member, director or officer of this Association. 

ARTICLE VII: AMENDMENTS 

Section 1:

This Constitution may be amended by an affirmative majority vote of the Association at a regular meeting attended by ten percent (10%) or more of the members. 

Section 2:

This Constitution also may be amended by a two-thirds (2/3) affirmative vote of the Board of Directors, provided that a copy of the amendment shall first have been sent to all members of the Board, together with a notice of the meeting at least two (2) weeks prior to the meeting. 

ARTICLE VIII: RULES OF ORDER 

Section 1:

Roberts Rules of Order, current edition, shall be applicable to anything not covered in this Constitution or its Bylaws.
